Podium ("Podium," "we," "us," or "our") is a web-based seating-chart application operated by John Gilchrist, a sole proprietor based in Sunnyvale, California, USA. By creating an account or using Podium (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.
Podium lets you create, save, customize, and print seating charts for musical ensembles. We may add, change, or remove features, and we may update or discontinue parts of the Service over time.
You are responsible for your account and for all activity under it. Keep your sign-in method secure, provide accurate information, and notify us of any unauthorized use. Accounts are for a single user and may not be shared to avoid fees.
Full access to the Service requires a one-time fee shown to you at checkout, processed by our payment provider, Stripe. All fees are non-refundable and all sales are final, except where a refund is required by applicable law. Your one-time purchase grants you a personal license to use the Service for as long as we continue to offer it; it is not a guarantee of perpetual availability. Prices may change for future customers.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own ensemble and educational purposes. You agree not to: resell, sublicense, or redistribute the Service or your access; reverse engineer, decompile, copy, or create derivative works of the software except to the extent the law permits; bypass or attempt to bypass the paywall or security controls; upload unlawful, infringing, or harmful content; or use the Service in violation of any law.
You keep ownership of the seating charts and information you create in the Service ("Your Content"). You grant us a limited license to store, process, and display Your Content solely to operate and provide the Service to you. You are responsible for Your Content and for keeping your own backups of anything important (for example, by exporting to PDF).
The Service is intended for educators and other adults. If you enter information about third parties — including the names of performers or students — you represent that you have the authority and any required consent to do so, and you are responsible for complying with applicable laws and school or district policies (for example, FERPA). We process such information only on your behalf to provide the Service; we do not sell it or use it for advertising.
The Service, including its software, design, and the "Podium" name and branding as used here, is owned by us and protected by copyright and other laws. These Terms do not transfer any of our intellectual property to you.
The Service relies on third-party providers, including Supabase (database, authentication, storage), Netlify (hosting), Stripe (payments), and Google (optional sign-in). Your use of those features may be subject to the third party's own terms, and we are not responsible for third-party services.
The Service is provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. Keep your own copies of important charts.
To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service. We will not be liable for indirect, incidental, special, or consequential damages, or for lost data or profits.
You agree to indemnify and hold us harmless from claims arising out of your use of the Service, Your Content, or your violation of these Terms or of any law.
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for security or legal reasons. Fees are non-refundable as described above.
We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Your continued use of the Service after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.
